THE WILCO HACKATHON RULES

The Wilco Hackathon (the “Hackathon”) is administered by Wilco Tech Ltd. ("Wilco").

The Hackathon is open only to persons (“Players”) who: (i) are residents and are located in a jurisdiction in which this type of Hackathon is permitted without registration or any other legal requirement; (ii) are at least at the age of eighteen (18); and (iii) are new Wilco’s users. Any person related to Wilco or to any employee or officer of Wilco may not participate.

To enter the Hackathon, a Player shall sign up using a dedicated webpage available on https://www.trywilco.com/hackathons/quest-builder-jan23. The Hackathon will begin and end on the dates and times published by Wilco ("Hackathon Period"). The use of Wilco's Platforms and Services is subject to Wilco's Terms of Service.

During the Hackathon, Players will submit quests as per the submission guidelines. Promptly after the end of the Hackathon Period, the Wilco community will be able to vote for their favorite Hackathon quest. One single vote will be allowed per person. Any fraudulent vote will not be accounted for and can be penalized. Votes of the quests will not be public and will only be accessed by Wilco. Wilco will review the top five voted quests, and amongst them select the top three winners. The winners will be selected based on the quality of their quests (including content, design, etc.) at the sole and absolute discretion of Wilco and the judges appointed by Wilco.

The Hackathon will be canceled if there are less than five submitted quests.

Each quest should have one meaningful learning objective with at least 2 steps. You can use our own templates as a starting point but not submit it as is or with minor changes.

The winners, as declared by Wilco, will receive the prizes detailed on the hackathon page, at https://www.trywilco.com/hackathons/quest-builder-jan23. Wilco may change this award or not grant an award at its sole discretion. The winners will be solely liable for all taxes related to the awards, and for all fees, costs and other arrangements related to delivery of the awards (except for standard delivery costs to the US and EU), if applicable. In case of cash awards, Wilco may withhold taxes as required under law, and any amount so withheld shall be considered as paid to the winners. In order to receive the awards, winner might be required to provide Wilco with certain documents, and awards will not be granted unless such documents are duly received by Wilco. Except for the awards, Players shall not be entitled to any additional consideration. Israeli VAT, if applicable, shall be added to any award against a tax invoice.

If a winner does not claim their award within 7 days, Wilco may cancel the award or grant the award to another Player.

Players agree that Wilco shall have full right, title and interest (including, without limitation, all intellectual property and moral rights) in and to all work product (including, without limitation, trade secrets, inventions, algorithms, processes, formulas, source and object code, texts, reports, data, programs, other works of authorship, know how, improvements, discoveries, developments, designs and techniques), created by the Players, solely or with others, in connection with the Hackathon (collectively, "Work Product"). Each Player hereby assigns and transfers to Wilco all right, title and interest in and to all Work Product. Player will assist Wilco, at Wilco’s expense, in obtaining, maintaining, defending and enforcing the Work Product, and will execute any such documents and perform any such other acts as Wilco may reasonably request for that end. Furthermore, each Player hereby waives all moral and similar rights with respect to or arising in respect of any Work Product. The Player shall ensure and undertake that the Work Product, will not contain any preexisting work subject to the copyright or other proprietary right of any third party (including, without limitation, any "creative commons", "open source" or "free software"), or any modification, adaptation or use of such work which might constitute an infringement of such copyright or other proprietary right, might require Wilco to publish or provide access or any other rights to, any source code, proprietary information, technology or intellectual property of Wilco, or might restrict Wilco’s ability to distribute, use, or in any way exploit its products anywhere in the world. Service Provider shall not improperly use any proprietary or confidential information belonging to any third-party.

Players should provide correct, up-to-date contact details. Wilco may require supportive information. All information provided to Wilco shall be collected, maintained and used according to Wilco's Privacy Policy.

By participating in a Hackathon each Player agrees to fully comply with these Rules and with Wilco's Terms of Service. Without derogating from Wilco's Terms of Service, Players shall comply with any applicable law, and shall not infringe the right of any third party.

Wilco shall not bear any liability in connection with the Hackathon and shall maintain full discretion and freedom in connection therewith. Without derogating from the aforementioned, Wilco may modify, suspend or terminate the Hackathon, suspend or terminate the participation of a certain Player, and administer and make any determination or resolution in connection with the Hackathon, at Wilco's sole and absolute discretion. Without derogating from the aforementioned, Wilco will terminate the Hackathon in case of insufficient participation or engagement, as determined by Wilco.

Players may not manipulate or otherwise affect the results or the Hackathon in any illegitimate manner, including inviting fake accounts to Wilco with the goal of gaining votes. Such Players will be disqualified, and Wilco may further block their Wilco accounts.

The Hackathon and prizes are awarded on an “as is” basis, without warranty of any kind, express or implied, by operation of law or otherwise. Wilco disclaim all implied warranties of performance, quality, merchantability and fitness for a particular purpose. Player's participation in the Hackathon is at the Player's own risk, and Wilco shall not bear any liability with respect thereto. Player shall bear all expenses in connection with the Player's participation.

Each Player acts solely as an independent contractor, and not as an employee or agent of Wilco.

These Rules are governed the laws of the State of Israel and the courts of Tel-Aviv, Israel shall have exclusive jurisdiction in connection therewith.
